Terms of Service
A template covering engagements, payment, intellectual property and portal use. Replace it with your own reviewed terms before going live.
Last updated: 20 August 2026
1. Engagements
Each project is governed by a written scope covering deliverables, phases, dates and price. Anything not listed in the scope is a change request, quoted before work begins.
2. Payment
Payments follow the milestone schedule in the signed proposal. Invoices are due within the stated terms; work on subsequent phases may pause while an invoice is overdue.
3. Intellectual property
On receipt of final payment, ownership of custom code and design deliverables transfers to the client. Third-party libraries remain under their own licences, and DevSpark retains ownership of its internal tooling and reusable components.
4. Client responsibilities
Timely feedback, access to required systems and a nominated decision-maker are needed to keep a schedule. Delays in approvals move the delivery dates accordingly.
5. Client portal
Portal accounts are for the named client organisation. Credentials must not be shared outside it, and DevSpark may suspend access if an account is misused.
6. Warranty and support
Each delivery includes a defined warranty window for defect fixes. Ongoing maintenance, monitoring and enhancements are covered by a separate support agreement.
7. Limitation of liability
Liability is limited to the fees paid for the engagement. Neither party is liable for indirect or consequential loss.
8. Contact
